Where shares have been transferred but entry of change as to ownership of shares in a company’s register of shareholders was not made and/or where a person either purchased or transferred shares of a company using another’s name and subsequently entered the borrowed name in the register of shareholders, whether only those shareholders whose name appears in the shareholder registry can exercise voting rights (affirmative in principle) Whether in such case the company may either deny the exercise of rights by shareholders whose name is recorded in the shareholder registry or acknowledge the exercise of rights by shareholders whose name has not yet been entered therein (negative in principle) Where a person owning a company’s shares whose name has yet to appear in the register of shareholders may exercise shareholder rights in relation to the company |
